BLACK ALIVE / LEGAL
TERMS OF USE AND SALE
1. Operator, product provider and scope
These Terms govern the Global Black Alive website, installed web application, free digital worlds and the licence, delivery and product-level support for paid digital content provided by UNIPLUS, storitve in trgovina, d.o.o., Cesta v Lipovce 3B, 1358 Log pri Brezovici, Slovenia, company registration number 6205291000, tax number 42906563, email support@blackalive.com.
UNIPLUS is the seller, Black Alive operator, developer, licensor and product provider. Payments are processed through standard Stripe Payments. Stripe provides payment-processing services and is not the merchant of record for this launch.
By using Black Alive or purchasing paid digital content, you agree to these Terms to the extent permitted by applicable law. Nothing here limits mandatory consumer rights that cannot lawfully be excluded or restricted.
2. Black Alive products
Black Alive provides interactive digital visual and audiovisual experiences (“Worlds”). Some Worlds are free. Some may require a one-time payment or another price model clearly shown before purchase.
Unless checkout expressly states otherwise, a paid World is sold as a one-time purchase and is not a recurring subscription.
The product page and checkout form part of the contract and may contain product-specific price, functionality, compatibility and access conditions.
3. Availability by country
The website may be accessible from many countries, but not every paid product is necessarily offered in every jurisdiction. UNIPLUS may limit purchasing, payment methods or availability by country for legal, tax, technical, sanctions, payment-provider or commercial reasons.
4. Prices, payment and taxes
The total price and currency are shown before you order. UNIPLUS currently applies the Slovenian small-enterprise VAT exemption where its legal conditions are met. Where that exemption applies, VAT is not charged. If VAT or another indirect tax becomes applicable to a transaction, the legally required total will be shown before payment.
Payments are processed through Stripe. UNIPLUS does not store full payment-card credentials on Black Alive servers.
The Global website may be viewed worldwide. Paid checkout for the initial launch is limited to Slovenia, the other EU Member States and the United States. Other paid markets are added only after their indirect-tax requirements have been addressed.
The final payment action will clearly indicate that placing the order creates an obligation to pay.
5. Digital delivery
Paid content is supplied electronically. Unless the product page says otherwise, access is provided without undue delay after successful payment and any legally required consent step.
Internet access is required for purchase, first preparation/download, access restoration and some updates. Some prepared content may continue working offline, but cold-start offline availability is not guaranteed unless expressly stated.
6. Technical requirements
Before purchase, review the technical requirements shown on the product page. The current MVP is primarily tested on recent Android devices using current Chromium/Chrome-based browsers with JavaScript, WebGL, modern HTML5 audio/video and browser storage enabled.
An OLED display is recommended for the intended visual effect. Some optional interactions, such as blowing, require microphone permission. Compatibility with devices or browsers not expressly listed as supported is not guaranteed.
7. Consumer withdrawal right
Consumers may have a statutory 14-day withdrawal right for a distance contract.
For digital content not supplied on a tangible medium, that right may be lost once supply begins where applicable law requires and the consumer: (1) expressly requests/consents to supply beginning during the withdrawal period; (2) acknowledges that beginning supply causes loss of the statutory withdrawal right; and (3) receives the required confirmation on a durable medium.
Where those conditions are not met, statutory rights remain as provided by applicable law. See the Refund & Withdrawal Policy.
8. Statutory conformity rights
Loss of the ordinary 14-day withdrawal right does not remove rights relating to non-delivery, lack of conformity, defects or other mandatory consumer remedies. Where applicable, remedies may include bringing content into conformity, price reduction, termination and/or refund.
9. Licence and intellectual property
Subject to these Terms, UNIPLUS grants you a limited, non-exclusive, non-transferable licence to use Black Alive and purchased Worlds for personal, non-commercial use.
Except where mandatory law permits otherwise, you may not sell, sublicense, rent or commercially redistribute the product; extract/distribute audiovisual assets outside normal use; circumvent access controls; infringe rights; or interfere with the service or infrastructure.
Black Alive names, designs, software, audiovisual content, UI, graphics and other materials are owned by or licensed to UNIPLUS d.o.o. unless stated otherwise.
10. Updates and changes
We may provide technical, compatibility, security or content updates. Where mandatory consumer law requires updates needed to maintain conformity, we will provide them as required. Changes or discontinuation do not remove mandatory rights concerning paid content.
11. Support
Support: support@blackalive.com. We may request reasonable device, browser, order and diagnostic information to investigate a problem.
12. Suspension/misuse
We may restrict access where reasonably necessary to address fraud, unlawful use, security threats, payment reversal, infringement or material breach. This clause does not remove mandatory consumer rights.
13. Liability
Black Alive is supplied with the standard of care required by applicable law. To the fullest extent permitted by law, UNIPLUS is not liable for indirect or unforeseeable losses not reasonably foreseeable when the contract was made. Nothing excludes liability or remedies that cannot lawfully be excluded, including mandatory consumer rights or liability for fraud.
14. Privacy
Personal data is processed under the Black Alive Privacy Policy.
15. Complaints and ADR
Please send complaints first to support@blackalive.com. UNIPLUS d.o.o. does not currently recognise an out-of-court consumer dispute resolution provider as competent under ZIsRPS unless participation is legally mandatory.
16. Governing law
These Terms are governed by Slovenian law. If you are a consumer, this does not deprive you of mandatory protections of the law of your habitual residence where those protections cannot be waived. Jurisdiction remains subject to mandatory consumer-jurisdiction rules.
17. Changes and applicable version
We may update these Terms for future use. The version applicable to a paid purchase is the version made available when the contract is concluded, together with any product-specific checkout terms.
